Effective date: May 11, 2026
This End User License Agreement (“Agreement”) governs access to and use of the TRM-CRM application (the “Application”), an internal business software system made available by The Restoration Marketers through restorationmarketers.com. This Agreement is intended for a private, internal-use application, which aligns with Intuit’s requirement that an app provide End User License Agreement and Privacy Policy URLs before production credentials are issued.
Parties
This Agreement is between The Restoration Marketers (“Company”) and the individual employee, contractor, or other authorized workforce member who is granted access to the Application (“User”). The Application is not offered to the general public and is provided only to personnel expressly authorized by the Company for internal business operations.
License Grant
Subject to this Agreement and all Company policies, the Company grants the User a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Application solely for legitimate internal business purposes of The Restoration Marketers. No ownership rights in the Application, its code, workflows, content, integrations, or related materials are transferred to the User.
Authorized Use Only
The Application may be used only by current personnel authorized by the Company. The User may access the Application only through Company-approved accounts, devices, networks, and workflows where required. The User may not allow any third party, including clients, vendors, family members, former personnel, or unrelated business entities, to access or use the Application.
Restrictions
The User shall not, except as expressly permitted in writing by the Company:

Copy, reproduce, distribute, publish, sell, lease, sublicense, or otherwise make the Application available to any third party.

Reverse engineer, decompile, disassemble, modify, adapt, translate, or create derivative works from the Application.

Circumvent security controls, authentication requirements, logging, access restrictions, or usage limitations.

Use the Application in any unlawful manner or in violation of Company policy, confidentiality obligations, or data-protection requirements.

Use the Application for personal purposes or for the benefit of any entity other than The Restoration Marketers.
Company Data and Confidentiality
All information accessed through or stored in the Application, including customer records, lead data, campaign information, operational records, financial information, integration data, reports, notes, credentials, and internal business processes, is confidential and proprietary to the Company or its licensors. The User must protect such information from unauthorized access, use, or disclosure and must comply with all Company confidentiality, security, retention, and acceptable-use policies.
Third-Party Services and Integrations
The Application may interoperate with third-party services, including QuickBooks Online and other business systems selected by the Company. Access to such services through the Application does not grant the User any rights in those services beyond what the Company separately authorizes. The availability or functionality of third-party services may change without notice, and the Company is not responsible for downtime, data delays, or feature changes caused by third-party providers.
Monitoring and Administration
To protect Company systems and data, the Company may monitor, log, review, access, suspend, or restrict use of the Application and related accounts, devices, and activity to the extent permitted by law. Users should have no expectation of personal privacy in Company-provided systems or in Application activity conducted for Company business.
Security Obligations
The User must maintain the confidentiality of login credentials, use strong authentication practices, promptly report suspected compromise or unauthorized access, and follow all Company security instructions. The User must not upload malicious code, attempt unauthorized testing, or interfere with the Application’s performance, integrity, or availability.
Suspension and Termination
The Company may suspend or terminate a User’s access at any time, with or without notice, for business, security, compliance, employment, or operational reasons. This license automatically terminates when the User’s employment, engagement, or authorization ends. Upon termination, the User must immediately cease use of the Application and return or destroy Company information as required by Company policy.
Intellectual Property
The Application, including all software, designs, databases, text, graphics, workflows, configurations, documentation, and related intellectual property rights, is and remains the exclusive property of The Restoration Marketers or its licensors. All rights not expressly granted in this Agreement are reserved.
Disclaimer of Warranties
The Application is provided on an “as is” and “as available” basis to the maximum extent permitted by law. The Company disclaims all warranties, whether express, implied, statutory, or otherwise, including implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, availability, accuracy, or error-free operation.
Limitation of Liability
To the maximum extent permitted by law, The Restoration Marketers and its affiliates, officers, directors, employees, contractors, licensors, and service providers shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to the Application or this Agreement. If liability cannot be excluded, total liability shall be limited to the minimum amount permitted by applicable law.
Compliance With Policies and Law
The User must comply with all applicable laws, regulations, contractual obligations, and Company policies when using the Application. This includes policies addressing confidentiality, information security, acceptable use, recordkeeping, and protection of personal information.
Changes to the Agreement
The Company may update this Agreement from time to time by posting a revised version at the applicable URL or by providing internal notice. Continued use of the Application after the effective date of an updated Agreement constitutes acceptance of the revised terms, to the extent permitted by law.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the State of Colorado, without regard to conflict-of-law principles, unless another governing law is required by applicable law.
